Job title: Senior Operations and Governance Officer Reports to: Operations Manager

Job summary The purpose of the role is to oversee all corporate governance matters at the Foundation and to establish systems and processes for planning, monitoring and reporting against our strategic priorities, programmes and projects. The Senior Operations Officer works with the Chair, Committee Chairs and Senior Management Team to support the Trustees to play their role in governing the charity. They will also work with colleagues across the organisation to put in place systems and reporting to track progress against plans and associated risks. The role spans the Foundation and the work of our subsidiary Justice Collaborations.

Key tasks

Governance • Arrange the annual cycle of Trustee meetings. • Work with Chair, Trustees, Chief Executive and relevant Directors to plan and produce agendas for Committee and Board meetings. • Take accurate and timely minutes of all meetings. • Work with the Chief Executive and relevant Directors and staff to support the production and dissemination of papers for all Committee and Trustee meetings on a timely basis. • Capture and communicate to Trustees, Directors and staff reports key information, outcomes of meetings and actions decided by Trustees and Committees. • Maintain and monitor delivery of actions points coming out of meetings • Ensure that all meetings comply with the requirements of the governing document. • Assist the Trustees and Chief Executive on Trustee renewal and future recruitment strategy and oversee processes for recruiting and inducting new Trustees. • Ensure Trustees’ training needs are understood and addressed. • Work with Trustees to maintain standards in line with the Code of Conduct. • Be responsible for the production and maintenance of the risk register.

• Assist in the drafting of the Annual Report and Accounts for LEF and JC • Ensure Trustee and other details are up to date and comply with the requirements of the Charity Commission and Companies House. • Work with the Trustees, Directors and staff to support Justice Collaborations with the production of agendas and dissemination of papers for all Committee and Trustee meetings on a timely basis. • Maintain the Seal Book, ensuring that the Seal is used where required to execute documents and maintain relevant registers of interests, gifts and hospitality. • Be responsible for maintaining and updating the Trustees Register of Interests. • Be responsible for the general administration for the Trustees including processing Trustee expenses and managing the Secretary’s inbox and being the first port of call for any queries. • Support the Chair with the Trustee Annual review process. • Support the Governance review processes and ensure actions are followed up and completed.

Programme Management

• Work with colleagues to develop an organisation wide approach to programme and project management, ensuring that we have a proportionate set of systems and processes in place. • Support project leads to plan, implement and monitor project progress and outcomes • Support the Senior Management Team to develop an annual delivery plan and monitor progress against a set of key performance indicators. • Support the Director of Operations to identify, assess and manage risks across the organisation. • To lead on ad hoc organisational wide projects where required including the All Staff Conference, Trustee dinners and other events. • Support the team with external event organisation, management and delivery, as required.

General The nature of this post will require flexibility to meet urgent work needs as they arise. The job description therefore is not intended to be exhaustive. Job requirements • A willingness to work in a matrix management structure. • A willingness to support other members of the Operations team when help is required and to consider oneself as part of the overall team

Key working relationships Working to the Operations Manager, the post holder will also have regular contact with the Chair and Trustees and the teams that they are supporting.

Person specification

Experience: • Significant experience of supporting a Board and committee structure • Significant experience of taking high quality minutes and tracking follow up actions • Experience of creating and maintaining project and work plans • Significant experience of working with colleagues at all levels of an organisation • Be dedicated and pro-active

Knowledge and skills: • Ability to build and form good relationships with colleagues, suppliers and other stakeholders • Ability to work constructively as part of a team • Excellent verbal and written communication skills • Ability to proficiently use office computer software including Office 365 and Salesforce
